Jurisdictional Issues
This Agreement is governed by and shall be construed in accordance with English law without giving effect to any principles of conflicts of law, save as provided in the paragraph below, the parties will submit to the exclusive jurisdiction of the courts of Northern Ireland, as the jurisdiction for any litigation arising in connection herewith. If any provision of this Agreement is unlawful, void, or unenforceable for any reason, then that provision shall be deemed severable from this Agreement and shall not affect the validity or enforceability of any remaining provisions. This Agreement constitutes the entire agreement between the parties relating to the subject matter hereof and shall not be modified except in a writing signed by both parties. If you are a person or entity registered in Russia or carrying on business from Russia any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity and termination, shall be referred to and finally resolved by arbitration under the binding Rules of Arbitration of the London Court of International Arbitration (“LCIA”) by three (3) arbitrators appointed in accordance with said rules. Each of the parties shall appoint one (1) arbitrator and the third arbitrator, who shall act as chairman, shall be appointed by the pre-appointed two (2) arbitrators. The chairman of the arbitral tribunal shall not be of Russian nationality. The arbitral tribunal shall apply the International Bar Association Rules on the Taking of Evidence in International Commercial Arbitration. The place of arbitration shall be London, England. The costs of the arbitration as determined by the LCIA shall be shared on an equal basis by the parties. Each of the parties shall bear their own legal fees.
